• 1.2 Eligibility: Participants must be legal adults (21 years or older in the UAE) with full legal capacity to enter into this agreement.
• 1.3 Due Diligence: Investors are responsible for performing their own due diligence before subscribing and acknowledge they have reviewed all project and token information.
• 1.4 Tax Compliance: Investors must comply with all applicable tax laws in their country of residence.

2. Disclaimer & Potential Risks

• 2.1 Investment Risks: Investing in digital currencies carries significant risks, including but not limited to:

  • Loss of entire invested capital
  • Cybersecurity and hacking risks

  • Liquidity constraints and difficulty selling assets

3. Geographical & Regulatory Restrictions

• 3.1 Geographic Restrictions: Individuals or entities in jurisdictions that prohibit or restrict digital currency subscriptions should not participate. It is each investor’s responsibility to ensure compliance with local laws.
• 3.2 UAE Residents: UAE residents are subject to regulations of the Securities and Commodities Authority (SCA), Central Bank of the UAE, and the Financial Services Regulatory Authority (FSRA) regarding digital assets.
• 3.3 AML Compliance: We reserve the right to request additional information to comply with Anti-Money Laundering and Counter-Terrorism Financing requirements under UAE law.

4. Investor Representations

• 4.1 You are not engaged in money laundering or terrorism financing activities.
• 4.2 Funds used for this subscription were obtained lawfully.
• 4.3 You are not subject to any economic or trade sanctions.
• 4.4 You have read, understood, and agree to these Terms & Conditions and Disclaimer.
• 4.5 You subscribe based on your own judgment and independent analysis.

5. Governing Law & Dispute Resolution

• 5.1 These Terms & Conditions are governed by and construed under the laws of the United Arab Emirates.
• 5.2 Any dispute arising out of or relating to these Terms or your participation shall first be resolved through friendly negotiations, failing which it will be submitted to the competent courts of the UAE.
